Terms of Service
1. About these Terms
These Terms of Service (Terms) govern the provision of services by Stord Pty Ltd (ABN 83 703 348 243) (“Stord”, “we”, “us” or “our”) to you, our client. By engaging us, accepting a quote issued by us, or using our website at https://stord.online, you agree to be bound by these Terms. If you do not agree with these Terms, please do not engage our services or use this website.
2. Who we are
Stord Pty Ltd is an Australian proprietary limited company registered under the Corporations Act 2001 (Cth), with its principal place of business in Melbourne VIC. We provide professional business and consulting services to organisations of all sizes, as further described on our Services page.
3. Scope of services and engagement
The specific scope, deliverables, timelines and fees applicable to your engagement will be set out in a written proposal, quote or engagement letter agreed between you and us. In the event of any inconsistency between these Terms and an agreed engagement document, the engagement document prevails to the extent of the inconsistency. An engagement arises only when we confirm our acceptance of your instructions in writing.
4. Quotes
Quotes provided by us are valid for 30 days from the date of issue unless otherwise stated in the quote. A quote is an invitation to treat and does not constitute a binding offer. You may request a quote via our Get a Quote page.
5. Fees, invoicing and payment
All fees are quoted and payable in Australian dollars. Unless stated otherwise, quoted amounts are exclusive of Goods and Services Tax (GST), which is payable in addition where applicable. Unless otherwise agreed in writing, invoices are payable within 14 days of the date of invoice. We may charge interest on overdue amounts and may suspend or cease work where invoices remain outstanding beyond a reasonable period. You remain liable for all fees relating to services performed up to the date of any suspension or termination.
6. Changes to scope
If you request changes to the agreed scope of an engagement, we will advise you whether the requested change affects the fees, deliverables or timelines. Variations take effect only upon written confirmation by both parties.
7. Your responsibilities
You agree to:
- provide timely, accurate and complete information and access as reasonably required for us to perform the services;
- obtain any consents, licences or approvals required for us to provide the services;
- ensure that any materials you supply to us do not infringe the rights of any third party; and
- promptly review and respond to deliverables and requests we provide to you.
We are not responsible for delays or deficiencies caused by your failure to meet these responsibilities.
8. Intellectual property
We retain ownership of our pre-existing methodologies, frameworks, tools and templates. Upon receipt of full payment, ownership of final deliverables created specifically for you under an engagement vests in you. You grant us a limited, non-exclusive licence to use materials you supply solely for the purpose of performing the services.
9. Confidentiality
Each party must keep the other party’s confidential information secure and use it only for the purposes of the engagement, unless disclosure is required by law or authorised in writing by the other party. This obligation survives the termination of an engagement.
10. Limitation of liability
To the maximum extent permitted by law, we are not liable to you for any indirect, incidental or consequential loss, loss of profit, or loss of data arising in connection with the services. Our total aggregate liability arising out of or in connection with an engagement is limited to the fees paid by you for the services giving rise to the liability. Nothing in this clause limits any liability that cannot be excluded or limited under Australian law.
11. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted or modified. If you are a consumer for the purposes of the Australian Consumer Law, our services come with guarantees that cannot be excluded, including that the services will be rendered with due care and skill and will be reasonably fit for any purpose you have made known to us.
12. Termination
Either party may terminate an engagement by giving at least 14 days’ written notice to the other party. Upon termination, you remain liable for fees for services performed up to the effective date of termination and for reasonable costs incurred on your behalf. Clauses relating to intellectual property, confidentiality, liability and governing law survive termination.
13. Force majeure
We are not liable for any delay or failure to perform our obligations caused by events beyond our reasonable control, including natural disasters, industrial disputes, government restrictions, or failures of third-party systems or networks.
14. Privacy
Our collection, use, storage and disclosure of personal information is described in our Privacy Policy. By engaging us, you consent to the handling of your personal information in accordance with that policy and the Privacy Act 1988 (Cth).
15. Governing law
These Terms are governed by the laws of Victoria, Australia. Both parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from those courts.
16. Changes to these Terms
We may update these Terms from time to time by publishing the updated version on this page. The version of these Terms in effect at the time you accept a quote or engage us will apply to that engagement, unless you and we agree otherwise in writing.
17. Severability
If any provision of these Terms is held to be invalid, illegal or unenforceable, that provision will be severed and the remaining provisions will continue in full force and effect.
